Welcome to Semgenius, LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, services, and any related products (collectively, the “Services”). By engaging with our Services, you agree to comply with and be bound by these Terms. If you do not agree, please refrain from using our Services.

1. Services Provided

Semgenius, LLC offers digital marketing services, including but not limited to:
  • Pay-Per-Click (PPC) Advertising Management
  • Search Engine Optimization (SEO)
  • Website Design & Development
  • Content Marketing & Copywriting
  • Social Media Management

2. Client Responsibilities

By engaging our Services, you agree to:
  • Provide accurate and complete information necessary for us to perform our Services.
  • Grant us access to necessary platforms (e.g., Google Ads, social media accounts, website CMS) for campaign management.
  • Ensure that all content, graphics, and other materials provided do not infringe on third-party rights.
  • Be responsible for any approvals or feedback required to proceed with campaigns, website changes, or optimizations.

3. Domain Name Renewals & Website Hosting

Semgenius.com is not responsible for domain name registrations, renewals, or website hosting maintenance unless explicitly stated in a separate agreement. The client is 100% responsible for ensuring that their domain name and hosting services are active, renewed on time, and paid for. Failure to renew domains or hosting can result in website downtime, for which Semgenius.com holds no liability.

4. Payment & Billing

  • Pay-Per-Click
  • Monthly PPC management, SEO, and maintenance fees must be paid in advance.
  • Web design projects require an upfront deposit, with the remainder due upon completion or as specified in the agreement.
  • Late payments may result in the suspension of services.

5. No Guarantees in Digital Marketing

While we use industry best practices and proven strategies, we do not guarantee specific results, including:
  • Increased traffic, conversions, or rankings from SEO efforts.
  • PPC performance metrics such as click-through rates, cost-per-click, or return on ad spend (ROAS).
  • Any particular sales or revenue growth from our marketing campaigns.
Digital marketing is influenced by various external factors, including search engine algorithm updates, ad platform changes, and competitor activities, which are beyond our control.

6. Website Design & Development

  • Websites will be delivered based on the agreed scope of work. Any additional revisions or changes outside of the scope may incur additional charges.
  • We are not responsible for any third-party integrations, plugin failures, or hosting-related issues once the website is delivered.
  • After project completion, maintenance and updates will be billed separately unless covered under a separate agreement.

7. Third-Party Platforms & Advertising

  • Our Services may involve advertising on platforms such as Google Ads, Meta (Facebook/Instagram), LinkedIn, and others. These platforms have their own policies and guidelines, which must be followed.
  • We are not responsible for ad disapprovals, account suspensions, or changes in platform policies that may affect performance.
  • All advertising budgets paid directly to third-party platforms are non-refundable.

8. Intellectual Property

  • Any custom web design, marketing materials, or branding created by Semgenius.com remain our intellectual property until full payment is received.
  • The client retains ownership of their domain, branding materials, and any content they provide.
  • SEO strategies and tactics implemented remain confidential and proprietary to Semgenius.com.

9. Termination of Services

Either party may terminate services with written notice as per the agreement terms. Upon termination:
  • Any outstanding payments must be settled before the transfer of accounts or assets.
  • We are not responsible for maintaining access to advertising platforms, analytics data, or marketing materials once services end.
  • No refunds will be issued for partially completed services.

10. Liability Limitation & Indemnification

Semgenius, LLC is not liable for:
  • Loss of business, revenue, or data due to third-party platform changes, website downtime, or ad campaign performance.
  • Any penalties, suspensions, or bans imposed by search engines or advertising platforms.
  • Client errors, including failure to renew domains, update website hosting, or maintain advertising budgets.
The client agrees to indemnify and hold Semgenius.com harmless from any claims, damages, or expenses resulting from the misuse of our Services.

11. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of our Services after changes are made constitutes acceptance of the revised Terms.
